1. Introduction

Welcome to enuchat ("we," "our," or "us"). enuchat is a brand operated by Kiran Sp. z o.o., a company registered in Poland. These Terms and Conditions ("Terms") govern your access to and use of the enuchat platform, including our website, embeddable chat widget, operator dashboard, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• "Account" means a unique account created for you to access our Service.
• "Tenant" means a business entity that subscribes to our Service to provide chat support on their website.
• "Operator" means a team member who manages conversations through the operator dashboard.
• "Visitor" means an end-user who interacts with the chat widget on a Tenant's website.
• "Widget" means the embeddable chat component that Tenants install on their websites.
• "Knowledge Base" means the content uploaded by Tenants for AI-powered auto-replies.
• "Tokens" means the units used to pay for AI features including translation, auto-replies, and rule evaluation.
• "Content" means any information, text, or materials uploaded, transmitted, or appearing on the Service.

3. Account Registration

To use certain features of the Service, you must register for an Account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your Account credentials
• Accept responsibility for all activities that occur under your Account
• Notify us immediately of any unauthorised use of your Account

We reserve the right to suspend or terminate your Account if any information provided is inaccurate, false, or violates these Terms.

4. Service Description

enuchat provides a multilingual AI-powered chat widget platform. Our Service includes:

• Embeddable chat widget for any website
• Automatic message translation in 60+ languages
• AI-powered auto-replies based on your knowledge base
• Knowledge base management with semantic search
• Operator dashboard for managing conversations in real time
• Team management with role-based access
• REST API for programmatic access
• Widget customisation (branding, welcome messages, proactive greetings)
• Rules engine for automating responses and routing conversations
• API connections to external systems for real-time data

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

5. Tokens, Plans, and Payment

5.1 Token System

AI features (translation, auto-replies, language detection, rule evaluation) consume tokens. Token usage varies by AI model and operation. Token balances and usage are visible in the operator dashboard.

5.2 Subscription Plans

enuchat offers four plans: Free (€0), Starter (€19/month), Pro (€49/month), and Business (€99/month). All plans include all features. Plans differ by resource limits (widgets, operators, knowledge sources, API rate limits) and token rates. The Free plan is free forever with no credit card required. Plan details are available at enuchat.com/pricing.

Paid plans renew automatically each month at the then-current plan price (see §5.4) and charges will recur until cancelled. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period, and you will continue to have access to paid features until then. Token purchases are one-time transactions and do not renew.

5.3 Merchant of Record

All payments are processed by Polar Software Inc. ("Polar"), a Delaware corporation registered at 3500 South DuPont Highway, Dover, DE 19901, US, which acts as the Merchant of Record for all transactions. When you make a purchase, you are buying from Polar, who then remits payment to us. As Merchant of Record, Polar is responsible for collecting and remitting applicable sales taxes, VAT, and GST on transactions. By making a purchase, you also agree to Polar's Terms of Service and Privacy Policy. We do not store your payment card details.

5.4 Price Changes

We may change token pricing or plan pricing with 30 days' notice. Price changes will not affect tokens already purchased.

6. AI Features and Third-Party Services

Our AI features are powered by third-party providers:

• Anthropic (Claude) for message translation, language detection, and AI auto-replies
• OpenAI for knowledge base embeddings and semantic search

Message content is sent to these providers for processing. These providers act as data processors and do not use your data for model training. We do not guarantee the accuracy or completeness of AI-generated responses.

7. User Content

You retain ownership of any Content you upload to the Service, including knowledge base entries, conversation messages, and widget configurations. By uploading Content, you grant us a worldwide, non-exclusive licence to use, display, and process your Content solely for the purpose of providing the Service.

You are responsible for ensuring that your Content:

• Does not infringe any third-party intellectual property rights
• Does not contain illegal, harmful, or offensive material
• Is accurate and not misleading
• Complies with applicable laws and regulations

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the Service
• Send spam or unsolicited messages through the widget
• Collect or harvest user information without consent
• Use the Service for any fraudulent or deceptive purpose
• Exceed reasonable usage limits or abuse API access

9. Intellectual Property

The Service and its original content, features, and functionality are owned by enuchat and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not guarantee the accuracy, completeness, or quality of AI-generated translations or auto-replies. AI responses are based on the knowledge base content provided by the Tenant and the capabilities of third-party AI models.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENUCHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless enuchat and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your Account if you violate these Terms. Upon termination:

• Your right to use the Service ceases immediately
• Your data will be retained for 30 days, after which it may be permanently deleted
• Unused tokens may be refunded within the 14-day money-back guarantee period (see Refund Policy)

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Poland. For consumers within the EU, mandatory consumer protection laws of your country of residence apply where they provide a higher level of protection.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
